TERMS OF SERVICE

By signing up for a CareToCompare Account (as defined in Section 1) or by accessing, browsing and using our (mobile) website or any of our applications through whatever platform (hereafter collectively referred to as the “Platform”) and/or by completing a reservation, you acknowledge and agree that you have read, understood and agreed to the terms and conditions set out below (including our privacy statement) and agree to be bound by the following terms and conditions (the “Terms of Service”).

These pages, the content and infrastructure of these pages and the online reservation service (including the facilitation of payment service) provided by us on these pages and through the website are owned, operated and provided by Amartis Health Limited and are provided for your personal, non-commercial (B2C) use only subject to the terms and conditions set out below.

As used in these Terms of Service, “we”, “us” and “CareToCompare” means Amartis Health (as defined in Section 4 below).

Everyday language summaries are provided for convenience only and appear in bold, but these summaries are not legally binding.

The relationships that we have with Care Providers are governed by separate terms and conditions which govern the (B2B) commercial relationships we have.

Each Care Provider is obligated to act in a professional manner when making its product and/or services available on our platforms (both for its business-to-business (“B2B”) and/or its business-to-consumer (“B2C”) relationship).

Please note that Care Providers may have, declare applicable and/or require acceptance of, in addition to the policies and fine print as disclosed on this website, their own (delivery / shipping / carriage / usage) terms and conditions and house rules for the use, access and consummation of the care (which may include certain disclaimers and limitations of liability).

Through its various platforms Amartis Health provides an online service through which Care Providers can advertise, market, sell, promote and/or offer (as applicable) their products and services for order, purchase, reservation, rent or hire, and through which relevant visitors of the Platform can discover, search, compare, and make an order, reservation, purchase or payment (i.e. the Care Finding Service).

By using our Care Finding Service (e.g. by making a booking through the Care Finding Service), you enter into a direct and legally binding contractual relationship with the Care Provider with whom you make a reservation or purchase a product or service (as applicable).

From the point at which you make your booking we act solely as an intermediary between you and the Care Provider.

We transmit the details of your booking to the relevant Care Provider(s) and send you a confirmation email for and on behalf of the Care Provider.

Each Care Provider remains responsible at all times for the accuracy, completeness and correctness of the (descriptive) information (including the fees/prices, policies & conditions and availability) displayed on our Platform.

Our Platform does not constitute and should not be regarded as a recommendation or endorsement of the quality, service level, qualification or (star) rating, type of accommodation of any Care Provider (or its facilities, venue, vehicles, (main or ancillary) products or services) made available, save as explicitly indicated or set out otherwise.

You are not allowed to re-sell, deep-link, use, copy, monitor (e.g. spider, scrape), display, download or reproduce any content or information, software, reservations, tickets, products or services available on our Platform for any commercial or competitive activity or purpose.

1. Account Registration

1. To access and use our Services, you must open a CareToCompare account (“Account”) by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. Amartis Health may reject your application for an Account or cancel any existing Account, for any reason, at our sole discretion.

2. You must be over 18 to open an Account.

3. You confirm that you are receiving the Care Finding Services provided by Amartis Health for your personal, household or family use and not for carrying on a business activity of any kind.

4. You acknowledge that Amartis Health will use the email address you provide on opening an Account or as updated by you from time to time as the primary method of communication with you. You must monitor the primary Account email address you provide to CareToCompare and this primary Account email address must be capable of both sending and receiving messages. Your email communications with Amartis Health can only be authenticated if they come from your primary Account email address.

5. You are responsible for keeping your password secure. Amartis Health cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your Account and password.

6. You are responsible for all activity and content such as photos, images, videos, graphics, written content, audio files, code, information, or data uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on or in connection with your Account (“Materials”).

7. A breach or violation of any term in the Terms of Service as determined at the sole discretion of Amartis Health may result in an immediate termination of your Services.

8. CareToCompare”, “us”, “we” or “our” means Amartis Health, a limited liability company incorporated under the laws of the Netherlands, and having its registered address at Herengracht 597, 1017 CE, Amsterdam, the Netherlands. “Platform”means the (mobile) website and app on which the Care Finding Service is made available owned, controlled, managed, maintained and/or hosted by Amartis Health.

9. “Care” means the various different products and services that can be ordered, acquired, purchased, bought, paid, rented, provided, reserved, combined or booked by you from a Care Provider.

10. “Care Provider” means the provider of accommodation (e.g.hotel, motel, apartment, bed & breakfast, landlord), attractions (e.g. (theme) parks, museums, sightseeingtours), transportation provider (e.g. car rentals, cruises, rail, airport rides, coachtours, transfers), tour operators, travel insurances, and any other travel or related product or service as from time to time a vailable for Care Booking Reservation on the Platform (whether B2B or B2C).

11. “Care Service” means the online purchase, order, (facilitated) payment or reservation service as offered or enabled by Amartis Health in respect of various products and services as from time to time made available by Care Providers on the Platform. “A Booking” means the order, purchase, payment, booking or reservation of care services or accommodation.

2. Account Holder and Care Guest(s)

The person signing up to our Care Finding Service by opening an Account will become the contracting party (“the Account Holder”) for the purposes of our Terms of Service and the only person authorised to purchase care services.

Each Account can only be associated with one Account Holder.

Every Account Holder may register themselves as a Care Guest if purchasing care services for themselves.

Every Account Holder may register up to three (3) other Care Guests to their account if they are responsible for purchasing care services on their behalf.

3. General Conditions

You must read, agree with and accept all of the terms and conditions contained in these Terms of Service, including the Privacy Policy.

Technical support in respect of the Services is only provided to Amartis Health Account Holders.

The Terms of Service shall be governed by and interpreted in accordance with the laws of the United Kingdom, without regard to principles of conflicts of laws. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms of Service and is hereby expressly excluded.

You acknowledge and agree that Amartis Health may amend these Terms of Service at any time by posting the relevant amended and restated Terms of Service on Amartis Health’s website, available at https://www.Amartis Health.com/legal/terms and such amendments to the Terms of Service are effective as of the date of posting.

Your continued use of the Services after the amended Terms of Service are posted to Amartis Health’s website constitutes your agreement to, and acceptance of, the amended Terms of Service. If you do not agree to any changes to the Terms of Service, do not continue to use the Service.

You may not use the Amartis Health Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws), the laws applicable to you in your customer’s jurisdiction, or the laws of the United Kingdom.

You will comply with all applicable laws, rules and regulations in your use of the Service and your performance of obligations under the Terms of Service.

The Amartis Health API License and Terms of Use at https://www.Amartis Health.com/legal/api-terms govern your access to and use of the Amartis Health API (as defined therein). You are solely responsible for the activity that occurs using your API Credentials (as defined in the API Terms) and for keeping your API Credentials secure.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Services, or access to the Services without the express written permission by Amartis Health.

You shall not purchase search engine or other pay per click keywords (such as Google Ads), or domain names that use Amartis Health or Amartis Health trademarks and/or variations and misspellings thereof.

Questions about the Terms of Service should be sent to Amartis Health support.

You understand that your Materials (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You acknowledge and agree that your use of the Services, including information transmitted to or stored by Amartis Health, is governed by its privacy policy at https://www.Amartis Health.com/legal/privacy

The Terms of Service may be available in languages other than English. To the extent of any inconsistencies or conflicts between these English Terms of Service and Amartis Health’s Terms of Service available in another language, the most current English version of the Terms of Service at https://www.Amartis Health.com/legal/terms will prevail.

Any disputes arising out of these Terms of Service will be resolved in English unless otherwise determined by Amartis Health (acting in its sole discretion) or as required by applicable law.

All the terms and provisions of the Terms of Service shall be binding upon and inure to the benefit of the parties to the Terms of Service and to their respective heirs, successors, permitted assigns and legal representatives.

Amartis Health shall be permitted to assign these Terms of Service without notice to you or consent from you. You shall have no right to assign or otherwise transfer the Terms of Service, or any of your rights or obligations hereunder, to any third party without Amartis Health’s prior written consent, to be given or withheld at Amartis Health’s sole discretion.

If any provision, or portion of the provision, in these Terms of Service is, for any reason, held to be invalid, illegal or unenforceable in any respect, then such invalidity, illegality or unenforceability will not affect any other provision (or the unaffected portion of the provision) of the Terms of Service, and the Terms of Service will be construed as if such invalid, illegal or unenforceable provision, or portion of the provision, had never been contained within the Terms of Service.

4. Amartis Health Rights

We reserve the right to modify or terminate the Services for any reason, without notice at any time. Not all Services and features are available in every jurisdiction and we are under no obligation to make any Services or features available in any jurisdiction.

We reserve the right to refuse service to anyone for any reason at any time.

We may, but have no obligation to, remove Materials and suspend or terminate Accounts if we determine in our sole discretion that the Materials uploaded or posted violate our Acceptable Use Policy (“AUP”) or these Terms of Service.

Verbal or written abuse of any kind (including threats of abuse or retribution) of any Amartis Health customer, Amartis Health employee, member, or officer will result in immediate Account termination.

Amartis Health does not pre-screen Materials and it is in our sole discretion to refuse or remove any Materials from the Service.

Amartis Health retains the right to determine, in our sole judgment, rightful Account ownership and transfer an Account to the rightful Owner. If we are unable to reasonably determine the rightful Owner, without prejudice to our other rights and remedies, Amartis Health reserves the right to temporarily disable an Account until resolution has been determined between the disputing parties.

5. Confidentiality

“Confidential Information” shall include, but shall not be limited to, any and all information associated with a party’s business and not publicly known, including specific business information, technical processes and formulas, software, customer lists, prospective customer lists, names, addresses and other information regarding customers and prospective customers, product designs, sales, costs (including any relevant processing fees), price lists, and other unpublished financial information, business plans and marketing data, and any other confidential and proprietary information, whether or not marked as confidential or proprietary.

Amartis Health’s Confidential Information includes all information that you receive relating to us, or to the Services, that is not known to the general public including information related to our security program and practices.

Each party agrees to use the other party’s Confidential Information solely as necessary for performing its obligations under these Terms of Service and in accordance with any other obligations in these Terms of Service including this Section 6.

Each party agrees that it shall take all reasonable steps, at least substantially equivalent to the steps it takes to protect its own proprietary information, to prevent the duplication, disclosure or use of any such Confidential Information, other than (i) by or to its employees, agents and subcontractors who must have access to such Confidential Information to perform such party’s obligations hereunder, who each shall treat such Confidential Information as provided herein, and who are each subject to obligations of confidentiality to such party that are at least as stringent as those contained herein; or (ii) as required by any law, regulation, or order of any court of proper jurisdiction over the parties and the subject matter contained in these Terms of Service, provided that, if legally permitted, the receiving party shall give the disclosing party prompt written notice and use commercially reasonable efforts to ensure that such disclosure is accorded confidential treatment.

Confidential Information shall not include any information that the receiving party can prove: (A) was already in the public domain, or was already known by or in the possession of the receiving party, at the time of disclosure of such information; (B) is independently developed by the receiving party without use of or reference to the other party’s Confidential Information, and without breaching any provisions of these Terms of Service; or (C) is thereafter rightly obtained by the receiving party from a source other than the disclosing party without breaching any provision of these Terms of Service.

6. Limitation of Liability

You expressly understand and agree that, to the extent permitted by applicable laws, Amartis Health shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service.

To the extent permitted by applicable laws, in no event shall Amartis Health or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (however arising including negligence).

You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Amartis Health partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

Use of the Services is at your sole risk.

The Services are provided on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory.

Amartis Health does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

Amartis Health does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

Amartis Health is not responsible for any of your tax obligations or liabilities related to the use of Amartis Health’s Services.

Amartis Health does not warrant that the quality of any products, services, information, or other materials purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.

7. Waiver, Severability, and Complete Agreement

The failure of Amartis Health to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service, including all terms and conditions and other documents it incorporates by reference, is held by a court of competent jurisdiction to be contrary to law, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provision of the Terms of Service shall remain in full force and effect.

The Terms of Service, including the documents it incorporates by reference, constitute the entire agreement between you and Amartis Health and govern your use of the Services and your Account, superseding any prior agreements between you and Amartis Health (including, but not limited to, any prior versions of the Terms of Service).

8. Intellectual Property and Customer Content

We do not claim any intellectual property rights over the Materials you provide to the Amartis Health Service. All Materials you upload to your Amartis Health Store remains yours.

By uploading Materials, you agree: (a) to allow other internet users to view the Materials you post publicly to your Store; (b) to allow Amartis Health to store, and in the case of Materials you post publicly, display and use your Materials; and (c) that Amartis Health can, at any time, review and delete all the Materials submitted to its Service, although Amartis Health is not obligated to do so. You retain ownership over all Materials that you upload to the Store; however, by making your Store public, you agree to allow others to view Materials that you post publicly to your Store. You are responsible for compliance of the Materials with any applicable laws or regulations.

Amartis Health shall have the non-exclusive right and license to use the names, trademarks, service marks and logos associated with your Store to promote the Service.

9. Payment of Fees

You will pay the Fees applicable to your subscription to Online Service and/or POS Services (“Subscription Fees”) and any other applicable fees, including but not limited to applicable fees relating to the value of sales made through your Store when using all payment providers other than Amartis Health Payments (“Transaction Fees”), and any fees relating to your purchase or use of any products or services such as Amartis Health Payments, POS Equipment, shipping, apps, Themes, domain names, Experts Marketplace, or Third Party Services (“Additional Fees”). Together, the Subscription Fees, Transaction Fees and the Additional Fees are referred to as the “Fees”.

You must keep a valid payment method on file with us to pay for all incurred and recurring Fees. Amartis Health will charge applicable Fees to any valid payment method that you authorize (“Authorized Payment Method”), and Amartis Health will continue to charge the Authorized Payment Method for applicable Fees until the Services are terminated, and any and all outstanding Fees have been paid in full. Unless otherwise indicated, all Fees and other charges are in U.S. dollars, and all payments shall be in U.S. currency.

Subscription Fees are paid in advance and will be billed in 30 day intervals (each such date, a “Billing Date”). Transaction Fees and Additional Fees will be charged from time to time at Amartis Health’s discretion. You will be charged on each Billing Date for all outstanding Fees that have not previously been charged. Fees will appear on an invoice, which will be sent to the Store Owner via the email provided. As well, an invoice will appear on the Account page of your Store’s administration console. Users have approximately two weeks to bring up and settle any issues with the billing of Subscription Fees.

If we are not able to process payment of Fees using an Authorized Payment Method, we will make a second attempt to process payment using any Authorized Payment Method 3 days later. If the second attempt is not successful, we will make a final attempt 3 days following the second attempt. If our final attempt is not successful, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon your payment of any outstanding Fees, plus the Fees applicable to your next billing cycle. You may not be able to access your Account or your storefront during any period of suspension. If the outstanding Fees remain unpaid for 60 days following the date of suspension, Amartis Health reserves the right to terminate your Account.

All Fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services (including Goods and Sales Tax under the Goods and Services Tax Act, Chapter 117A of Singapore), harmonized or other taxes, fees or charges now in force or enacted in the future (“Taxes”).

You are responsible for all applicable Taxes that arise from or as a result of your subscription to or purchase of Amartis Health’s products and services. To the extent that Amartis Health charges these Taxes, they are calculated using the tax rates that apply based on the billing address you provide to us. Such amounts are in addition to the Fees for such products and services and will be billed to your Authorized Payment Method. If you are exempt from payment of such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate that satisfies applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from and after the date we receive evidence satisfactory to Amartis Health of your exemption. If you are not charged Taxes by Amartis Health, you are responsible for determining if Taxes are payable, and if so, self-remitting Taxes to the appropriate tax authorities in your jurisdiction.

For the avoidance of doubt, all sums payable by you to Amartis Health under these Terms of Service shall be paid free and clear of any deductions or withholdings whatsoever. Other than Taxes charged by Amartis Health to you and remitted to the appropriate tax authorities on your behalf, any deductions or withholdings that are required by law shall be borne by you and paid separately to the relevant taxation authority. Amartis Health shall be entitled to charge the full amount of Fees stipulated under these Terms of Service to your Authorized Payment Method ignoring any such deduction or withholding that may be required.

You are responsible for all applicable Taxes that arise from or as a result of any sale on your Amartis Health Store. You must maintain an accurate location in the administration menu of your Amartis Health Store. If you change jurisdictions you must promptly update your location in the administration menu.

Amartis Health does not provide refunds.

10. Cancellation and Termination

You may cancel your Account and terminate the Terms of Service at any time by contacting Amartis Health Support and then following the specific instructions indicated to you in Amartis Health’s response.

Upon termination of the Services by either party for any reason:
Amartis Health will cease providing you with the Services and you will no longer be able to access your Account; unless otherwise provided in the Terms of Service, you will not be entitled to any refunds of any Fees, pro rata or otherwise; any outstanding balance owed to Amartis Health for your use of the Services through the effective date of such termination will immediately become due and payable in full.

If at the date of termination of the Service, there are any outstanding Fees owing by you, you will receive one final invoice via email. Once that invoice has been paid in full, you will not be charged again.

We reserve the right to modify or terminate the Amartis Health Service, the Terms of Service and/or your Account for any reason, without notice at any time (unless otherwise required by applicable law). Termination of the Terms of Service shall be without prejudice to any rights or obligations which arose prior to the date of termination.

Fraud: Without limiting any other remedies, Amartis Health may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the use of the Services.

11. Modifications to Services and Prices

Prices for using the Services are subject to change upon 30 days’ notice from Amartis Health. Such notice may be provided at any time by posting the changes to the Amartis Health Site (Amartis Health.com) or the administration menu of your Amartis Health Store via an announcement. Amartis Health reserves the right at any time, and from time to time, to modify or discontinue, the Services (or any part thereof) with or without notice (unless otherwise required by applicable law).

Amartis Health shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

12. Feedback and Reviews

Amartis Health welcomes any ideas and/or suggestions regarding improvements or additions to the Services. Under no circumstances shall any disclosure of any idea, suggestion or related material or any review of the Services, Third Party Services or any Third Party Provider (collectively, “Feedback”) to Amartis Health be subject to any obligation of confidentiality or expectation of compensation.

By submitting Feedback to Amartis Health (whether submitted directly to Amartis Health or posted on any Amartis Health hosted forum or page), you waive any and all rights in the Feedback and that Amartis Health is free to implement and use the Feedback if desired, as provided by you or as modified by Amartis Health, without obtaining permission or license from you or from any third party.

Any reviews of a Third Party Service or Third Party Provider that you submit to Amartis Health must be accurate to the best of your knowledge, and must not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable.

Amartis Health reserves the right (but not the obligation) to remove or edit Feedback of Third Party Services or Third Party Providers, but does not regularly inspect posted Feedback.

13. Rights of Third Parties

Save for Amartis Health and its affiliates, Amartis Health Users or anyone accessing Amartis Health Services pursuant to these Terms of Service, unless otherwise provided in these Terms of Service, no person or entity who is not a party to these Terms of Service shall have any right to enforce any term of these Terms of Service, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description.

For the avoidance of doubt, this shall not affect the rights of any permitted assignee or transferee of these Terms.

14. Privacy & Data Protection

Amartis Health is firmly committed to protecting the privacy of your personal information and the personal information of your customers. By using the Service, you acknowledge and agree that Amartis Health’s collection, usage and disclosure of this personal information is governed by our Privacy Policy.

Additionally, if: (a) you are established in the European Economic Area (EEA); (b) you provide goods or services to customers in the EEA; or (c) you are otherwise subject to the requirements of the EU General Data Protection Regulation, Amartis Health’s collection and use of personal information of any European residents is also subject to our Data Processing Addendum.

15. Support companies

This Care Finder Service is rendered by Amartis Health Limited, which is a private limited liability company, incorporated under the laws of the Netherlands and having its offices at Bramble Cottage, Horsham Road DORKING RH5 4QT UK.

Our VAT registration number is 879 4033 89.

Amartis Health has its headquarters in the United Kingdom and is supported by various affiliated group companies (the “support companies”) throughout the world. The support companies only provide an internal supporting role to and for the benefit of Amertis Health Limited.

Certain designated support companies render limited customer care support services (only by telephone). Our support companies do not have any Platform (and do not in any way control, manage, maintain or host the Platform). The support companies do not have any power or authority to render the Care Finder Service, to represent Amartis Health Limited or to enter into any contract in the name of, for, or on behalf of Amartis Health Limited.

You do not have a (legal or contractual) relationship with the support companies. The support companies do not operate and are not authorised to act as any form of process or service agent of Amartis Health. Amartis Health does not accept nor assume any domicile at anyplace, location or office in the world (also not at the office of its support companies), other than its registered office in the United Kingdom.

16. Pricing Policy

The prices as offered by the Care Providers on our Platform are highly competitive.

All prices for Care are displayed including VAT/sales tax and all other taxes (subject to change of such taxes) and fees, unless stated differently on our Platform or the confirmation email/ticket. Rates are for a named service user who has provided details of the personal care required, if applicable.

Applicable fees and taxes (including tourist/city tax) may be charged by the Care Provider in the event of a no-show or cancellation.

Sometimes cheaper rates are available on our Platform for a specific stay, product or service, however, these rates made available by Care Providers may carry special restrictions and conditions, for example non-cancelable and non-refundable.

Please check the relevant product, service and reservation conditions and details thoroughly for any such conditions prior to making your reservation.

We want you to pay the lowest price possible for your product and service of choice. Should you find your property of choice booked through the Platform, with the same conditions, at a lower rate on the Internet after you have made a reservation through us, we will match the difference between our rate and the lower rate under the terms and conditions of the We Price Match. Our We Price Match promise does not apply to non-accommodation care products or services.

Obvious errors and mistakes (including misprints) are not binding.

All special offers and promotions are marked as such. If they are not labelled as such, you cannot derive any rights in the event of obvious errors or mistakes.

Unless indicated otherwise, our service is free of charge for consumers because, unlike many other parties, we will not charge you for our Care Service or add any additional (reservation) fees to the rate. You will pay the Care Provider the relevantamount as indicated in the Care Reservation (plus - insofar not included in the price–relevant applicable taxes, levies and fees (if applicable)).

Care Providers pay a commission (being a percentage of the product price to Amartis Health after the end user has consummated the service or product of the Care Provider (e.g. after the guest has stayed at (and paid) the accommodation).

Care Providers can improve their ranking by increasing their commission (Visibility Booster). The use of the Visibility Booster (by increasing the commission in return for better position in the ranking) is at each Care Provider’s discretion and may be used from time to time and product to product offered.

The algorithm of our ranking will take an increase in commission into account when determining the Default Ranking. Preferred partners pay a higher commission in return for a better position in the ranking.

Only Care Providers who have a commercial relationship with Amartis Health (through an agreement) will be made available on our Platform (for their B2B and/or B2C promotion of their product).

Amartis Health does not allow non-professional parties to offer or sell their products on or through Amartis Health platforms.

17. Credit card or bank transfers

If applicable and available, certain Care Providers offer the opportunity for Care Reservations to be paid (wholly or partly and as required under the payment policy of the Care Provider) to the Care Provider during the Care Reservation process by means of secure online payment (all to the extent offered and supported by your bank).

For certain products and services, Amartis Health facilitates (through third party payment processors) the payment of the relevant product or service (i.e. the payment facilitation service) for and on behalf of the Care Provider (Amartis Health never acts nor operates as the merchant of record). Payment is safely processed from your credit/debit card or bank account to the bank account of the accommodation provider through a third party payment processor. Any payment facilitated by us for and on behalf of, and transferred to the Care Provider will in each case constitute a payment of (part of) the booking price by you of the relevant product or service in final settlement of such (partial) due and payable price and you cannot reclaim such paid monies.

For certain (non-refundable) rates or special offers, please note that Care Providers may require that payment is made upfront by wire transfer (if available) or by credit card, and therefore your credit card may be pre-authorised or charged (sometimeswithout any option for refund) upon making the Care Reservation. Please check the (reservation) details of your product or service of choice thoroughly for any such conditions prior to making your Care Reservation. You will not hold Amartis Health liable or responsible for any (authorized, (allegedly) unauthorized or wrong) charge by the Care Provider and not (re)claim any amount for any valid or authorized charge by the Care Provider (including for pre-paid rates, no-show and chargeable cancellation) of your credit card.

In the event of credit card fraud or unauthorised use of your credit card by third parties, most banks and credit card companies bear the risk and cover all the charges resulting from such fraud or misuse, which may sometimes be subject to a deductible (usually set at EUR 50 (or the equivalent in your local currency)).

In the event that your credit card company or bank charges the deductible from you because of unauthorised transactions resulting from a reservation made on our Platform, we will pay you this deductible, up to an aggregate amount of GBP 25 (or the equivalent in your local currency). In order to indemnify you, please make sure that you report this fraud to your credit card provider (in accordance with its reporting rules and procedures) and contact us immediately. Please provide us with evidence of the charged deductible (e.g. policy of the credit card company).

This indemnification only applies to credit card reservations made using Amartis Health’s secure server and the unauthorised use of your credit card resulted through our default or negligence and through no fault of your own while using the secure server.

18. Pre-payment, cancellation, no-show and fine print

By making a Care Booking with a Care Provider, you accept and agree to the relevant cancellation and no-show policy of that Care Provider, and to any additional (delivery) terms and conditions of the Care Provider that may apply to your Care (including the fine print of the Care Provider made available on our Platform and the relevant house rules of the Care Provider), including for services rendered and/or products offered by the Care Provider.

The relevant (delivery/purchase/use/carrier) terms and conditions of a Care Provider can be obtained with the relevant Care Provider. The general cancellation and no-show policy of each Care Provider is made available on our Platform on the Care Provider information pages, during the reservation procedure and in the confirmation email or ticket (if applicable). Please note that certain rates, fees or special offers are not eligible for cancellation, refund or change. Applicable city/tourist tax may still be charged by the Care Provider in the event of a no-show or charged cancellation. Please check the (reservation) details of your product or service of choice thoroughly for any such conditions prior to making your reservation.

Please note that a Care Reservation that requires down payment or (wholly or partly) prepayment may be cancelled (without a prior notice of default or warning) insofar the relevant (remaining) amount(s) cannot be collected in full on the relevant due or payment date in accordance with the relevant payment policy of the Care Provider and the reservation. Cancellation and prepayment policies may vary per segment, product or service of each stay.

Please carefully read the fine print (below the Care types or at the bottom of each Care Provider page on our Platform) and important information in your reservation confirmation for additional policies as may be applied by the Care Provider (e.g. in respect of age requirement, security deposit, non-cancellation/additional supplements. Late payment, wrong bank, debit or credit card details, invalid credit/debit cards or insufficient funds are for your own risk and account and you shall not be entitled to any refund of any (non-refundable) prepaid amount unless the Care Provider agrees or allows otherwise under its (pre)payment and cancellation policy.

If you wish to review, adjust or cancel your Care Booking please revert to the confirmation email and follow the instructions therein.

Please note that you may be charged for your cancellation in accordance with the Care Provider’s cancellation, (pre)payment and no-show policy or not be entitled to any repayment of any (pre)paid amount. We recommend that you read the cancellation, (pre)paymentand no-show policy of the accommodation provider carefully prior to making your reservation and remember to make further payments on time as may be required for the relevant reservation.

If you have a late or delayed arrival on the check-in date or only arrive the next day, make sure to (timely/promptly) communicate this with the Care Provider so they know when to expect you to avoid cancellation of your Care (Reservation) or charge of the no-show fee. Our customer service department can help you if needed with informing the Care Provider. Amartis Health does not accept any liability or responsibility for the consequences of your delayed arrival or any cancellation or charged no-show fee by the Care Provider.

19. Further correspondence and communication

By completing a Care Booking, you agree to receive (i) an email which we may send you shortly prior to your arrival date, giving you information on your destination and providing you with certain information and offers (including third party offers to the extent that you have actively opted in for this information) relevant to your Care Booking and destination, (ii) an email after arrival to rate the (experience with your) Care Provider and the Care Finder Service, and (iii) an email which we may send to you promptly after your stay inviting you to complete our guest review form. Amartis Health disclaims any liability or responsibility for any communication by or with the Care Provider on or through its platform. You cannot derive any rights from any request to, or communication with the Care Provider or (any form of) acknowledgement of receipt of any communication or request.

Amartis Health cannot guarantee that any request or communication will be (duly and timely) received/read by, complied with, executed or accepted by the Care Provider. In order to duly complete and secure your Care Reservation, you need to use your correct email address. We are not responsible or liable for (and have no obligation to verify) any wrong or misspelled email address or inaccurate or wrong (mobile) phone number or credit card number.

Any claim or complaint against Amartis Health or in respect of the Care Service must be promptly submitted, but in any event within 30 days after the scheduled day of consummation of the product or service (e.g. check out date). Any claim or complaint that is submitted after the 30 days period, may be rejected and the claimant shall forfeit its right to any (damage or cost) compensation.

Due to the continuous update and adjustments of rates and availability, we strongly suggest to make screenshots when making a reservation to support your position if needed).

For consumers (in the European Economic Area): We advise you to first notify us of any complaints by contacting our Customer Service. If this does not resolve your complaint, you can upload your complaint via the European Commission’s ODR platform. This platform for online dispute resolution can be found here: http://ec.europa.eu/odr.

20. Ranking, preferred programme, stars and guest reviews

The default setting of the ranking of Providers on our Platform is ‘Amartis Health Recommends’ (or any similar wording); this is the Default Ranking. Please note that the Default Ranking is created through a complex ever changing and evolving system (algorithm) that considers a multitude of criteria in order to match searchers and accommodations in an optimal way. The actual ranking will be different for each customer and for each search as there are many criteria included, for example the popularity of an accommodation premises among our visitors (e.g. guest reviews), customer service history (including the number and type of guest complaints), certain booking-related data (e.g. number of bookings, cancellations, conversion rate, overbookings, availability, etc.), the commission percentage paid by Suppliers, other benefits to us (f.e.) through commercial arrangements with strategic partners and the (past) browsing activities of a visitor.

Please note that for convenience we also offer other ways to rank Suppliers.

A customer can choose to rank for example an accommodation on the basis of lowest price first, review scores, accommodation type (etc.). A customer thus has full control on the presentation of the search results.

Amartis Health has identified the following parameters to be most closely correlated with you finding a suitable Care Provider and thus prioritise such parameters in the algorithms (main parameters): your personal search history, the rate of ‘clickthrough’ from the search page to the providers page (“CTR”), the number of bookings related to the number of visits to the Care Provider page on the Platform (“Conversion”), gross (including cancellations) and net (excluding cancellations) bookings of a Care Provider.

Conversion and CTR may be affected by various (stand-alone) factors including review scores (both aggregated scores and components), availability, policies, (competitive) pricing, quality of content and certain features of the Care Provider.

The commission percentage paid by the Care Provider or other benefits to us (e.g. through commercial arrangements with the Care Provider or strategic partners) may also impact the default ranking, as well as the Care Provider’s record on timely payment. The Care Provider may also influence its ranking by participating in certain programmes - that may be updated from timeto time - such as the Genius programme, deals, the Preferred Partner Programme and the visibility booster (the latter two involve the Care Provider paying a higher commission to us).

Indicative price star ratings displayed on Amartis Health websites are determined by Amartis Health.

Indicative price rankinga are shown on the basis of the number of stars (low to high or high to low) based on the opinion of Amartis Health irrespective of objective criteria.

Amartis Health does not impose formal obligations on star ratings and does not review them. Overall, the indicative price star classification is a representation of how the accommodation compares to the sector or (customary) industry standards in terms of price, facilities and available services (these requirements and standards can vary between different countries and organisations).

Only customers who have stayed at the Accommodation will be invited by Amartis Health to comment on their stay at the relevant accommodations and to provide a score for certain aspects of their stay or may receive a rating request during their stay. The completed guest review (including submitted rating during your stay) may be (a) uploaded onto the relevant Care Provider’s information page on our Platform for the sole purpose of informing (future) customers of your opinion of the service (level) and quality of the Care Provider, and (b) (wholly or partly) used and placed by Amartis Health at its sole discretion (e.g. for marketing, promotion, or improvement of our service) on our Platform or such social media platforms, newsletters, special promotions, apps, or other channels owned, hosted, used, or controlled by Amartis Health and our business partners.

In order to offer and maintain recent (and therefore relevant) reviews, reviews can only be submitted within a limited period of time (3 months) after a stay and each review will only be available for a limited period of time (up to 36 months) after posting. The default ranking of the reviews is by date of submission relative to a few additional criteria (such as language, reviews with comments), whereas a review of a customer who [always] submits comprehensive and detailed reviews (aka “Property Scout”) may be ranked on top. You have the option to choose various different forms of ranking and filter (e.g. by audience, date, language, score).

Amartis Health does allow Care Providers to respond to reviews. We reserve the right to adjust, refuse, or remove reviews at our sole discretion insofar it violates our review policy.

Amartis Health does not compensate or otherwise reward a customer for completing a review. The guest review form should be regarded as a survey and does not include any (further commercial) offers, invitations, or incentives whatsoever.

Amartis Health undertakes to use its best efforts to monitor and remove reviews that include obscenities or the mention of an individual’s name or reference to stolen goods.

Amartis Health will not accept reviews which include:

Profanity, sexually explicit, hate speech, discriminatory, threats, violence

Mention of full names, personal attack towards staff

Promoting illegal activities (e.g. drugs, prostitution)

Sites, emails and addresses, phone numbers, cc details

Politically sensitive comments

Amartis Health and the Care Provider are each entitled to terminate their relationship for whatever reason (including in the event of breach of contract or (filing for) bankruptcy) with due observance of the relevant notice period as agreed between both parties.
